We are seeking a highly experienced and strategic Manager, Long-Term Incentive Program to lead the end-to-end administration and optimization of GXO’s global equity compensation programs and other long-term incentives. This individual will oversee complex equity transactions, drive process excellence, ensure global regulatory compliance, and act as an advisor to the Sr. Manager of Executive Compensation and the VP of Global Benefits and Executive Compensation, as well as other Total Rewards and cross-functional stakeholders. This role will be instrumental in shaping GXO’s long-term incentive strategy, improving operational scalability, and enhancing employee experience.

What you’ll do on a typical day:
- Long-Term Incentive Plan Administration - Manage day-to-day operations of GXO’s long-term incentive programs, including stock options, RSUs, PSUs and cash awards. Ensure plans are administered in compliance with SEC regulations, IRS and other global tax codes, SOX requirements, and the terms of GXO’s equity plan and policy documents.
- Grant Lifecycle Management - Coordinate and process equity award grants, modifications, vesting events, and exercises. Maintain accurate records in the company’s equity management platform. Support timely and accurate award agreements and grant communications to participants globally.
- Employee Support & Education - Serve as the subject matter expert and primary contact for internal equity-related inquiries. Oversee education plans for participants on plan details, transaction processes, tax implications, and tools for equity management.
- SEC & Compliance Reporting - Collaborate with Legal and Finance to prepare and file Section 16 reports for executive officers. Support proxy statement and 10-K/10-Q disclosures related to equity compensation. Ensure proper tax withholding and global compliance for equity transactions.
- Cross-Functional Coordination - Partner with HR, Payroll, Legal, and Finance to ensure accurate processing, accounting, and reporting of equity transactions. Coordinate with Payroll on taxable events and ensure timely and compliant reporting across jurisdictions.
- System Management & Data Integrity - Manage the vendor partner, maintain data integrity within the equity administration platform and ensure reconciliations with HR systems, general ledger, and payroll systems. Assist in related system upgrades or implementation projects as needed.
- Audit & Controls - Support internal and external audits related to equity compensation. Maintain documentation and control processes to meet audit and SOX compliance standards.
- Communications & Process Improvement - Develop and coordinate delivery of communications and training to enhance employee understanding of equity programs. Identify and implement process improvements and automation opportunities to scale equity administration effectively.
What you need to succeed at GXO:
At a minimum, you’ll need:
- Bachelor’s degree or equivalent related work or military experience.
- 7+ years of experience in stock plan administration at a public company.
- Experience with managing long-term incentive programs.
- Experience with stock administration platforms.
- Strong knowledge of SEC reporting, Section 16 requirements, and global tax and compliance rules related to equity.
- Proficiency in Microsoft Excel and comfort working with complex data sets.
- High attention to detail, organizational skills, and ability to manage multiple priorities.
It’d be great if you also have:
- Certified Equity Professional (CEP) designation.
- Experience supporting global equity programs across multiple jurisdictions.
- Experience with SOX compliance and equity-related financial reporting.
